Terms of Service
The terms and conditions governing the professional business and consulting services provided by Jot & Laksh Pty Ltd.
1. Introduction
These Terms of Service (“Terms”) govern your engagement of Jot & Laksh Pty Ltd (ABN 93 703 109 764) (“we”, “us”, “our”) and apply to all professional business and consulting services we provide. By engaging our services, requesting a quote, or using our website at https://jotlaksh.online, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not engage our services.
2. Our Services
We provide professional business and consulting services, which may include business advisory, strategy development, operational review, planning support, and related consulting work. The specific scope, deliverables, timeline, and fees for any engagement will be set out in a written proposal, statement of work, or engagement letter agreed between you and us before work commences.
Any indication of scope in general marketing materials, including on this website, is descriptive only and does not constitute an offer or a guarantee of any particular outcome.
3. Quotes and Engagement
Quotes provided by us are valid for fourteen (14) days from the date of issue unless otherwise stated in writing. A quote is an estimate based on the information available to us at the time it is prepared. If the scope of work changes, or if information provided to us proves to be inaccurate or incomplete, we may issue a revised quote before proceeding.
An engagement is formed only when you accept a written quote or proposal and any required deposit has been received. Work will not commence until the engagement is formed.
4. Fees, Invoicing and Payment
All fees are stated in Australian dollars (AUD) and are exclusive of GST unless expressly stated otherwise. Invoices are payable within the period stated on the invoice, which is normally fourteen (14) days from the date of issue.
If an invoice remains unpaid beyond its due date, we may suspend provision of services and charge reasonable late payment interest on the outstanding amount. You remain liable for all fees incurred for work performed up to the date of any suspension.
5. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide accurate, complete, and timely information and documentation reasonably required for the engagement;
- Respond to requests for input or approval within a reasonable timeframe;
- Promptly notify us of any change to your circumstances, objectives, or business position that may affect the engagement;
- Ensure you have the right to provide any materials, data, or records you supply to us.
Delays caused by a failure to meet these responsibilities may affect timelines and, where applicable, fees.
6. Intellectual Property
All pre-existing materials we bring to an engagement, including our frameworks, templates, methodologies, and know-how, remain our property. Upon full payment of fees for an engagement, you are granted a non-exclusive, non-transferable licence to use the deliverables prepared specifically for you for your internal business purposes.
You retain ownership of materials you provide to us. We may refer to our general experience and methodologies in providing services to other clients, provided we do not disclose your confidential information.
7. Confidentiality and Privacy
We treat information you provide to us as confidential and will not disclose it to third parties except where required by law, where disclosure is necessary to perform the services (such as engaging a subcontractor bound by equivalent confidentiality obligations), or where you have given consent.
Our handling of personal information is described in our Privacy Policy. Please read it before providing personal information to us.
8. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of or in connection with an engagement is limited to the fees actually paid by you for the services giving rise to the liability. We are not liable for indirect, incidental, or consequential loss, including loss of profit, revenue, or business opportunity, except where such limitation is prohibited by law.
9. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable Australian consumer protection legislation that cannot be excluded. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that services will be rendered with due care and skill and will be reasonably fit for purpose where that purpose is made known to us.
10. Termination
Either party may terminate an engagement by giving written notice to the other party. If you terminate an engagement part-way through, you remain liable for fees for work performed up to the effective date of termination, plus any costs reasonably incurred on your behalf. We may terminate an engagement immediately if you breach these Terms, fail to pay an invoice when due, or if continuing the engagement would place us in breach of law or professional obligations.
11. Force Majeure
We are not liable for delay or failure to perform our obligations where that delay or failure is caused by an event beyond our reasonable control, including natural disaster, pandemic, industrial action, or disruption to utilities or communications networks.
12. Governing Law
These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
13. Amendments
We may update these Terms from time to time by publishing a revised version on this website. The version in force at the time your engagement is formed will apply to that engagement unless a later version is agreed in writing.
